1.3 Individual Agreements with Clients

In addition to these Terms & Conditions (T&C) and other general legal & compliance documents available on the GetTarget website, each client enters into an individual contract with GetTarget.

This individual agreement serves as a customised framework that:

  • Details specific terms of cooperation, including service scope, pricing models, and performance expectations.
  • Modifies, supplements, or expands upon the general Terms & Conditions (T&C) where necessary to reflect the client’s unique needs.
  • Introduces additional provisions, where required, that are not covered by the general documents.

The individual agreement does not override or abolish the general Terms & Conditions (T&C), Privacy Policy, or other legal documents but operates in conjunction with them. In the event of any conflict, the individual agreement will take precedence only for the aspects it explicitly modifies, while all other provisions of the general documents remain in force.

Clients are advised to carefully review both the general T&C and their individual agreement before signing, as both govern their relationship with GetTarget.

Any modifications to the individual agreement must be agreed upon in writing by both parties.

2. Eligibility & Account Registration

  • You must be at least 18 years old and have the legal authority to enter into contracts with GetTarget.
  • You must provide accurate and complete information when registering for our services.
  • You are responsible for maintaining the security of your account and password credentials. Your account and login details are strictly personal and should not be shared with unauthorised third parties.
  • We reserve the right to refuse service, suspend, or terminate accounts if fraudulent, misleading, or illegal activities are detected.

3. AI-Driven Services & Limitations

3.1 How Our AI Works

GetTarget uses machine learning algorithms to provide data-driven recommendations for pricing, advertising, SEO optimisation, and demand forecasting. Our AI continuously learns from market trends, customer behaviour, and competitor activity to refine its outputs.AI-generated insights are used as decision-support tools, not absolute directives.

3.2 AI Limitations & Responsibility

  • Human Oversight Required: Clients are responsible for reviewing and validating AI-driven recommendations before applying them. We strongly recommend human review before making major pricing or advertising decisions.
  • Marketplace Compliance: We are not responsible for any violations of Amazon, eBay, or other marketplace policies resulting from AI-optimised listings, pricing, or advertising.

4. Pricing, Payments & Billing

4.1 Service Fees

  • GetTarget offers subscription-based and pay-per-use services. The pricing is available on our website or as per a custom agreement.
  • Fees are charged monthly, annually, or based on performance metrics as agreed upon.

4.2 Payment Processing

  • All payments are securely processed via third-party providers – PayPal, bank transfers, etc.
  • You must ensure that your billing details are accurate and up to date.

4.3 Refund Policy

  • Subscription-Based Plans: No refunds for partial usage if you cancel before your subscription period ends.
  • Pay-for-Performance Plans: Refunds only apply in the event of a breach of the service level agreements (SLAs) contained in the main service contract that GetTarget enters into with each customer.

5. Cancellation & Termination

  • You may cancel your subscription anytime via your account dashboard or by contacting support@gettarget.ai.
  • GetTarget reserves the right to suspend or terminate contracts and accounts that violate our terms, engage in fraudulent activities, or misuse our AI-powered services.
  • Upon termination of the contract or closure of the client’s account, all active services provided by GetTarget will be discontinued, unless otherwise specified in the termination agreement.
  • GetTarget is not responsible for any negative consequences resulting from the termination of services, including but not limited to:
    – Loss of access to AI-powered tools (e.g., pricing optimisation, marketplace insights, ad campaign management).
    – Disruption in automated pricing or advertising strategies, which may impact competitive positioning.
    – Loss of historical data and performance reports stored within GetTarget’s systems.
    – Lack of future updates or optimisations related to product listings, inventory forecasting, or marketplace compliance.
    – Possible disruptions in order processing due to discontinued AI-driven logistics or fulfilment support.
  • It is the client’s responsibility to ensure a smooth transition before terminating services.
  • Clients are responsible for exporting any required data before termination, as GetTarget does not guarantee data retention beyond the termination date.
  • If the client wishes to reactivate services after termination, a new service agreement must be established, and previous configurations may not be recoverable.

6. Data Privacy & Security

  • We comply with GDPR, UK Data Protection Laws, and other global privacy regulations.
  • Your data is encrypted and stored securely, and we do not sell or misuse personal information.

  • Pricing strategies must comply with anti-trust and fair competition laws.
  • Advertising must comply with truth-in-advertising laws in respective jurisdictions.
  • If you operate in finance, insurance, or legal services, you must verify compliance with industry-specific regulations before using AI-generated content.

Failure to comply with industry-specific regulations is the sole responsibility of the client. GetTarget does not assume liability for regulatory breaches, financial penalties, or legal disputes arising from non-compliance with tax obligations, competition laws, advertising standards, or marketplace policies. Clients are advised to consult with qualified legal, tax, or financial professionals where necessary. If compliance issues arise, GetTarget may offer guidance where feasible, but ultimate responsibility for adherence to applicable laws remains with the client.

8. Intellectual Property & Usage Rights

  • All AI-generated reports, insights, and strategies remain the intellectual property of GetTarget unless otherwise stated.
  • You may use AI-generated recommendations for your business but cannot resell or redistribute them without written permission.
  • Unauthorised reproduction or resale of GetTarget’s AI-driven insights may result in account termination and legal action.

9. Limitation of Liability

  • No Liability for Marketplace Actions: GetTarget is not responsible for penalties, suspensions, or financial losses resulting from AI-driven strategies.
  • No Financial Guarantees: While our AI improves decision-making, we do not guarantee increased sales, profitability, or marketplace performance.
  • Service Downtime: We strive for 99.9% uptime, but we are not liable for technical failures, third-party API disruptions, or unexpected outages.

12. Marketplace Suspension & Policy Compliance Disclaimer

    – Customer service & returns policies
  • GetTarget is not liable for account suspensions, product delistings, or financial penalties imposed by e-commerce marketplaces (platforms) due to policy violations or for any other reasons beyond our control.
  • If a client’s account is suspended, GetTarget may assist with an appeal strategy, but we do not guarantee reinstatement.
  • AI-driven recommendations should be cross-checked against platform policies before implementation.
  • Clients should stay informed about marketplace rule changes to avoid disruptions in their business.

13. Dispute Resolution

  • Any disputes will first be addressed through internal resolution mechanisms.
